DEFINITIONS
The following terminology applies to these Terms and Conditions, Privacy Statement, Disclaimer Notice, and any or all Agreements:
“Client”, “You”, and “Your” refers to you, the person or business engaging with Ad Me Agency
“The Company”, “We”, “Our”, and “Us” refers to Ad Me Agency
“Party”, “Parties”, refers to both the Client and the Company
“Intellectual Property” means all intellectual property rights of any nature, including patents, designs, trademarks, copyrights, and any rights capable of registration.
“Product” or “Service” refers to any deliverables provided by Ad Me Agency.
All terms refer to the offer, acceptance, and consideration of payment necessary to undertake services in accordance with applicable laws. Terminology in singular, plural, capitalization, and gender-neutral terms are interchangeable.
USE OF WEBSITE & SERVICES
Ad Me Agency maintains its website as a service to the internet community. Access to and use of https://admeagency.com is subject to these Terms and all applicable laws.
By using our website and services, you confirm that you:

Will use services only for lawful purposes
Will not misuse, disrupt, or interfere with the website or services
We may revise these Terms at any time by updating this page.
SERVICES PROVIDED
AdMe Agency provides marketing, advertising, consulting, and related digital services. Specific deliverables, timelines, and pricing will be outlined in separate agreements or proposals prior to engagement.
PERFORMANCE-BASED PRICING
Our "Performance-Based" ad management pricing is only available to a select number of qualified clients. To qualify, one must have a fully optimized funnel with all assets in place, have previously ran Meta ad campaigns with a minimum of 50 conversions, and proof of consistent offer performance. Ad Me Agency reserves the right to determine client eligibility.
In the performance model, our fee is 25% of all verified sales attributed directly to Meta ads or a minimum of $3,000 per month, whichever is greater.
Clients who do not meet the criteria will be offered our standard retainer-based model, with possibility of transitioning into performance-based pricing once metrics support it.
PAYMENTS & BILLING
All fees are outlined in your service agreement
Payments must be made on time to avoid service interruption
Fees are non-refundable unless otherwise stated in writing
Late payments may result in additional charges or suspension of services
Outstanding invoices are handled by Ad Me Agency’s Accounts department.
CLIENT RESPONSIBILITIES
You agree to:
Provide accurate and complete information
Supply necessary assets (creative, copy, access, etc.) in a timely manner
Maintain communication throughout the engagement
Comply with all applicable advertising platform policies (including Meta policies)
SMS MESSAGING TERMS
By providing your phone number, you consent to receive SMS communications from AdMe Agency, including updates, reminders, and promotional messages.
You can cancel the SMS service at any time. Just text "STOP" to 440.396.7762. After you send the SMS message "STOP" to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us.
If you want to join again, just sign up as you did the first time and we will start sending SMS messages to you again.

Message and data rates may apply depending on your mobile carrier.
INTELLECTUAL PROPERTY
All content, branding, strategies, and materials provided by Ad Me Agency remain our intellectual property unless otherwise agreed in writing. Clients are granted a limited, non-transferable license to use deliverables for business purposes.
CARRIER LIABILITY DISCLAIMER
Mobile carriers are not liable for delayed or undelivered messages.
Ad Me Agency does not guarantee that SMS messages will be delivered accurately or on time. Delivery may be impacted by factors outside of our control, including but not limited to mobile carrier network issues, device compatibility, or service disruptions.
By opting into SMS communications, you acknowledge and agree that neither Ad Me Agency nor participating carriers are responsible for any delays, failures, or errors in message delivery.
CONFIDENTIALITY
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the business relationship.
LIMITATION OF LIABILITY
Ad Me Agency is not liable for:
Indirect, incidental, or consequential damages
Loss of revenue, profits, or business opportunities
Platform-related issues (e.g., ad account bans, algorithm changes)
All services are provided “as is” without warranties of any kind.
TERMINATION
We reserve the right to terminate or suspend services at any time for:
Breach of these Terms
Non-payment
Misuse of services
Clients may terminate services based on their individual agreement.
THIRD-PARTY PLATFORMS
Our services may involve third-party platforms (e.g., Meta, Google). We are not responsible for changes, outages, or policies enforced by these platforms.
CONTACT & COMMUNICATION
The first point of contact for the Client is the Business Development Manager.
For ongoing communication, the Client’s main point of contact will be their assigned Account Manager.
